Welcome to DUBICORE, a service provided by DUBIDOX. Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the DUBICORE business management platform (the "Service").

By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the Service.

1. Description of Service

DubiCore is a comprehensive, cloud-based Business Operating System offering modules across Human Resources, Payroll, Time & Attendance, Task Management, Client Billing, and Asset Tracking. The features and modules available to you depend on the subscription plan you select.

2. Subscriptions and Payments

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as Monthly or Annually). By subscribing to a paid tier (e.g., Growth, Enterprise), you agree to pay the fees displayed during checkout.

• Taxes: All prices published on our website are exclusive of applicable taxes (e.g., GST), which will be calculated and appended at checkout or invoicing.
• Cancellation: You may cancel your Subscription at any time via the admin portal. Cancellations take effect at the end of the current billing cycle.

3. Customer Obligations and Acceptable Use

When you create an account with us, you represent and warrant that you are authorized to bind your organization to these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To upload or process strictly prohibited material (e.g., malware, illegal content).
• To bypass the Service's security measures or interfere with its regular operations.

4. Data Privacy & Processing

You retain all rights to the data you input into DubiCore ("Customer Data"). As detailed in our Privacy Policy, DubiCore processes your Customer Data solely to provide the Service to you. You authorize us to store, copy, and backup this data to deliver technical support and ensure reliability. You remain solely responsible for ensuring you have the legal right to upload and process PII (Personally Identifiable Information) belonging to your employees.

5. Intellectual Property Rights

The Service and its original content (excluding Customer Data), features, functionality, interface designs, and code-base are and will remain the exclusive property of DUBIDOX and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of DUBIDOX.

6. Limitation of Liability

In no event shall DUBIDOX, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice before any material changes take effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

8. Governing Law

These Terms shall be governed and construed in accordance with standard international commercial laws, without regard to its conflict of law provisions.
